Asset Deal versus Share Deal?
Certainly many property experts pose that question these days when ownership of real estate is transferred so frequently, when numerous real estate investments funds are established and when properties are increasingly often purchased also by private investors

Is there a right answer? Unfortunately, there is not. Both transaction types have their pros and cons and therefore have their supporters and opposers. The right choice may translate into higher savings, mainly in taxation; it may also imply taking over the risk associated with long-term operations of the company.

The decision on the investment mode is driven by many factors, some of them are the following:

  • standards adopted when creating the real estate investment fund;
  • property status depending on the tenure;
  • method of reversion preferred by the current owner;
  • economic aspects;
  • taxation;
  • legal environment;
  • finance; and
  • other.

Responding to the market needs we have the pleasure to deliver a training „Asset Deal vs Share Deal – which to choose?”

The objective of the course is to explain characteristic features of both transaction types, their differences, criteria used for choosing the right type and to present best practices showing asset deal and share deal purchases, mainly from the Polish market with some remarkable examples from abroad.

During the course our instructors will discuss the selection criteria with special consideration given to tax, legal and financing aspects. We will also cover the role of due diligence in the acquisition/disposal process, the sale contract, guarantees, consequences and responsibilities of the seller and buyer.

Presentations are prepared by a group of leading professionals – practitioners from the Polish real estate market, experienced in international transactions.
